Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Helio LLC ("Helio," "we," "us," or "our"), governing your access to and use of the Helio Rewards platform, including the website heliorewards.com and all related services, applications, and tools (collectively, the "Service").
By creating an account, accessing the Service, or using any part of the platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
2. Description of Service
Helio Rewards is the donor-facing side of the Helio biospecimen marketplace. Through Helio Rewards, you can create an anonymized health profile, get matched with paid donation opportunities from medical researchers, schedule specimen collection at approved facilities, and receive compensation for your contributions to research.
Helio is a pure marketplace platform. Helio does not collect, handle, store, or transport biological specimens at any point. All specimen collection is performed by CLIA-certified laboratories and licensed phlebotomy facilities. Helio's role is limited to:
- Building your anonymized health profile for researcher matching
- Notifying you of paid donation opportunities that match your profile
- Coordinating scheduling at approved collection facilities near you
- Processing your compensation payments
3. Eligibility
To use Helio Rewards, you must:
- Be at least 18 years of age
- Be a legal resident of the United States (international availability may expand; current service is limited to U.S. residents)
- Have the legal capacity to enter into a binding agreement
- Not have been previously suspended or removed from the Service
4. User Accounts and Registration
4.1 Account Creation
To access donation opportunities, you must create an account by providing accurate, current, and complete information. This includes your name, email address, phone number, date of birth, and health profile information. You agree to update your information promptly if it changes.
Providing false or misleading information — particularly regarding your health profile — is grounds for immediate account termination and forfeiture of pending compensation. Accurate health data is essential to the integrity of the research your specimens support.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify Helio immediately at [email protected] if you suspect unauthorized access.
4.3 Your Helio ID
When you sign up, you are assigned a unique Helio ID. This is a randomly generated identifier that separates your personal identity from your health profile. Researchers only see your anonymized health data — never your name, contact information, or anything that identifies you personally. Your Helio ID is the only bridge between your identity and your research profile, and it is stored in a secured system separate from both. You may not share, transfer, or disclose your Helio ID to any third party.
5. Health Profile and Truthfulness
Your health profile is the foundation of the Helio Rewards experience. It determines which donation opportunities you are matched with and what compensation you receive. You represent and warrant that:
- All health conditions, medications, and medical history you report are truthful and accurate to the best of your knowledge
- You will update your health profile promptly if your health status changes (new diagnoses, medication changes, etc.)
- You will disclose any condition or medication that could affect the safety or usability of your specimen
Falsifying health information is not just a Terms violation — it can compromise research that scientists and patients depend on. Helio takes this seriously. Accounts found to have provided materially false health information will be permanently terminated, and any compensation received based on false information may be subject to recovery.
6. Compensation
6.1 How Compensation Works
You are compensated for your time and the research value of your specimen. Compensation amounts vary based on specimen type, your health profile's relevance to current research needs, and specific study requirements. Before you confirm participation in any donation opportunity, you will see the exact compensation amount offered.
6.2 When You Get Paid
Compensation is processed after the collection facility confirms successful specimen collection and the specimen meets the researcher's stated specifications. Payment is issued via the method you select in your account settings (direct deposit, PayPal, or other supported methods). Standard processing takes up to 48 hours from confirmation, though some payment methods may take 3 to 5 business days to settle.
6.3 Compensation Adjustments
Helio reserves the right to withhold or recover compensation if:
- A specimen is found unusable due to inaccurate health disclosures
- Pre-donation instructions were not followed, resulting in specimen rejection
- Fraudulent activity is detected on your account
Compensation amounts are determined at the time a donation opportunity is presented to you. Helio does not retroactively change compensation for completed and accepted donations.
7. Donations: Requirements, Scheduling, and Cancellation
7.1 Pre-Donation Requirements
Each donation opportunity will specify the specimen type, any pre-donation instructions (such as fasting or temporary medication holds), and collection requirements. You are responsible for following all instructions. Failure to follow pre-donation instructions may result in specimen rejection and loss of compensation for that session.
7.2 Scheduling
Appointments are scheduled through the Helio Rewards platform at approved collection facilities. You are responsible for attending scheduled appointments on time. Appointment availability depends on your location and the collection facility network.
7.3 Cancellation
You may cancel a scheduled donation at any time before the appointment. We request at least 24 hours' notice. Repeated no-shows or late cancellations (fewer than 6 hours before the appointment) may result in temporary suspension of your ability to accept new opportunities. Specifically:
- 3 late cancellations or no-shows within a 90-day period: 14-day suspension from new opportunities
- 6 late cancellations or no-shows within a 180-day period: 60-day suspension and account review
If Helio cancels a donation opportunity you have confirmed (because a researcher withdrew the request, the study paused, or for any operational reason), you will not be penalized and your account standing will not be affected.
8. Prohibited Conduct
You agree not to:
- Provide false, misleading, or inaccurate health information
- Create multiple accounts to receive duplicate donation opportunities
- Attempt to identify or contact researchers matched with your profile outside of the Helio platform
- Use the Service for any unlawful purpose
- Interfere with or disrupt the Service, servers, or networks
- Attempt to reverse-engineer, scrape, or extract data from the Service
- Share your account credentials or Helio ID with others
- Donate specimens while knowingly concealing a condition that could affect specimen safety or usability
9. Intellectual Property
The Service, including all content, features, functionality, software, text, graphics, logos, and design elements, is owned by Helio LLC and is protected by United States and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. "Helio," "Helio Rewards," "Helio Research," "Helio ID," and associated logos are trademarks of Helio LLC.
10. Limitation of Liability
To the maximum extent permitted by law, Helio LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
Helio's total aggregate liability for all claims shall not exceed the greater of (a) the compensation paid to you in the twelve months preceding the claim, or (b) one hundred dollars ($100).
Helio does not provide medical advice. Participation in donation opportunities is voluntary and at your own risk. Consult your physician before donating specimens, especially if you have health conditions that may be affected by the donation process. Helio is not responsible for the actions, quality of care, or negligence of third-party collection facilities.
11. Indemnification
You agree to indemnify, defend, and hold harmless Helio LLC and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of:
- Your use of the Service
- Your violation of these Terms
- Inaccurate health information you provide
- Your interaction with collection facilities or third parties through the Service
- Your violation of any applicable law or regulation
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute, contact us at [email protected] and attempt to resolve the matter informally for at least 30 days.
12.2 Binding Arbitration
If informal resolution is unsuccessful, disputes shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall be conducted by a single arbitrator in Wilmington, Delaware, or a mutually agreed location. The arbitrator's decision is final and binding.
12.3 Class Action Waiver
Dispute resolution will be conducted on an individual basis. You waive your right to participate in a class action lawsuit or class-wide arbitration against Helio.
12.4 Exceptions
Either party may seek injunctive relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or breach of confidentiality.
13. Modification of Terms
Helio reserves the right to modify these Terms at any time. Material changes will be communicated by email at least 30 days before they take effect. Continued use of the Service after revised Terms take effect constitutes acceptance. If you disagree, stop using the Service and request account deletion.
14. Termination
You may delete your account at any time by contacting [email protected]. Pending compensation for completed donations will still be processed.
Helio may suspend or terminate your account at any time for violation of these Terms, false health disclosures, fraudulent activity, or other reasons. Upon termination, your right to use the Service ceases immediately. Sections 9 through 12 survive termination.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Legal actions not subject to arbitration shall be brought exclusively in Delaware state or federal courts.
16. General Provisions
16.1 Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Helio regarding the Service.
16.2 Severability
If any provision is found unenforceable, it shall be modified to the minimum extent necessary, with remaining provisions staying in full force.
16.3 Waiver
Helio's failure to enforce any provision is not a waiver of that provision.
16.4 Assignment
You may not assign these Terms without Helio's written consent. Helio may assign without restriction.
